The Admin Pencil will be displayed to anyone with permission to a component accessed via the Administration Panel. This would include members with access to moderation and/or reporting, like Group Owners and Group Managers. Clicking on the Admin Pencil will only display the options each member has permission to use. For example, a Group Manager will have access to moderation and reporting, but only for groups where they are a manager.
You missed out that it also appears for anyone creating website content such as blog posts, else they cannot get to their blog drafts and such, so there may be functionality for a given application in the context that the user is viewing that isn't limited to administrators as to why a regular member may need to use the pencil.
